I am the founder of Robert L. Banowsky PLLC, a Dallas-based business law practice. I bring extensive experience in mergers and acquisitions, private equity transactions, and complex business formations. I have successfully represented clients in high-stakes deals including private equity acquisitions and strategic investments in emerging industries.

My expertise encompasses negotiating sophisticated transaction terms, securing favorable equity arrangements and maximizing client leverage in complex investment structures. I have demonstrated proficiency in drafting and negotiating purchase agreements, governance documents, private offering materials and equity-incentive structures while providing strategic counsel on operational matters ranging from vendor engagements to intellectual property licensing.

Prior to founding my firm, I served as an attorney at a boutique business law firm, where I developed my expertise in corporate transactions and governance matters. My earlier experience includes my role as in-house counsel at a private-equity-backed financial services company, where I implemented comprehensive compliance programs under state banking laws and participated in numerous liquidity-focused transactions.

I earned my Juris Doctor, cum laude, from Southern Methodist University Dedman School of Law and hold a Bachelor of Arts from Texas Christian University. I maintain an active role in the legal community as an Adjunct Faculty Member at SMU Law School, where I coach students in moot negotiation competitions. My commitment to professional development and community service is further evidenced by my leadership roles with the Dallas Association of Young Lawyers and my volunteer work with the Boys & Girls Club of Greater Dallas. I also publish articles that address the nuances of transactional law.
